Trial Services Agreement (TSA)
This Agreement is entered into on [Date] between [Your Agency Name] (“Agency”) and [Client Name/Company] (“Client”).
1. Scope of Trial
Agency will provide [Number of hours] hours of development services (“Trial Period”) starting on [Start Date]. The specific goals are:
- [Goal 1: e.g., UI login prototype]
- [Goal 2: e.g., Stripe sandbox integration]
2. Intellectual Property (“Safety” Clause)
- Ownership: Agency retains sole ownership of all Work Product, code, documentation, and designs created during the Trial Period.
- License: Client receives a temporary, non-exclusive, non-transferable license to view and test the Work Product solely for evaluation.
- Transfer: Ownership transfers only upon a signed Full Service Agreement or separate written Buy-Out Agreement.
3. Access & Environment
- Hosting: Code remains on Agency-controlled servers/repos (e.g., GitHub, AWS).
- Client Access: “View-Only” or “Testing” access. No source files or database credentials transfer during the Trial Period.
4. Confidentiality (NDA)
Both parties protect Confidential Information shared during the trial, including Client business details and Agency processes, pricing, and methodologies.
5. No Warranty & Limited Liability
- “As-Is”: Trial Work Product is for evaluation only, not production.
- Liability cap: Agency is not liable for direct, indirect, or consequential damages. Total liability is limited to $0.00 (trial cost).
6. Termination
Either party may terminate at any time with [notice period, e.g., 24 hours] written notice. Upon termination, Client access to Work Product is revoked immediately.
7. Post-Trial Conversion
After the Trial Period, parties will discuss full engagement. If no agreement is reached within [7] days of trial completion, the trial is considered closed.
